Terms & Conditions

These Terms and Conditions ("Terms," "Agreement") govern your use of the services provided by Entrocy ("we," "us," or "our"). By accessing or using our services, you agree to be bound by these Terms. If you disagree with any part of these Terms, please refrain from using our services.

Project Initiation and Maintenance

- Before commencing work, a Project Requirement Document (PRD) or Product Requirement Document will be finalized along with a proposal. Only after the approval of these documents, we will begin the work.

- Upon the delivery of the product, a six-month free maintenance period will be provided. During this period, minor changes to the existing project or product are acceptable at no additional cost. However, any new requirements or significant changes will be considered billable.

- After the expiration of the free maintenance period, any maintenance required will be subject to additional charges.

Payment Terms

- A 40% advance payment is required to initiate the project. - 30% of the payment will be due upon reaching specified milestones as outlined in the project plan.

- The remaining 30% of the payment will be due upon final delivery of the project.

Scope Changes

Any changes or modifications to the scope of the project requested by the client may result in adjustments to the project timeline and cost. We will communicate any such changes and obtain approval before proceeding.

Intellectual Property Rights

Upon full payment for the services rendered, the client will own all intellectual property rights to the deliverables produced as part of the project.

Confidentiality

We will maintain the confidentiality of all information provided by the client during the course of the project.

Termination

Either party may terminate this Agreement in writing if the other party breaches any material provision of these Terms and fails to remedy such breach within a reasonable period.

Limitation of Liability

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or use, incurred by the client or any third party, arising out of or in connection with the use or performance of our services.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Tamil Nadu, India, without regard to its conflict of law provisions.

Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
